Share-Based Payment Valuations (IFRS 2 / FRS 102)

Share Option & Growth Share Valuations

DMP Accountants & Valuations delivers specialist fair value reports for shares and share option schemes -combining digital efficiency with consultancy expertise. Our valuations are designed to withstand audit scrutiny and ensure compliance with IFRS 2 or FRS 102, as well as this they give management clarity over complex financial reporting areas.

Share schemes - what we cover & why these valuations matter:

We deliver independent valuations for share and option schemes, including:

  • Sweet equity / Share options
  • Consultant options
  • Growth shares
  • Management incentive plans (MIPs)
  • Group-level awards

While EMIs are about tax relief, our valuations are required under IFRS 2 and FRS 102; companies must recognise the fair value of share-based payments in their financial statements.

Our valuations determine that fair value and support the related accounting entries, disclosures and audit evidence - ensuring your statements present a true and fair view as the associated fair value expense charge is recognised in the accounts over the vesting period.

SBP Accounting Treatments and Disclosures

  • Equity-settled awards: fair value fixed at grant; expense recognised over the vesting period
  • Cash-settled awards: liability re-measured at each reporting date

We prepare the disclosure notes and supporting assumptions (granted/exercised, weighted averages, exercise price, expected volatility, dividend yield, risk-free rate, vesting expectations and restrictions) for IFRS 2/FRS 102 compliance.

How we value and model awards - complex valuation techniques

We apply advanced methods to fit the award design and data available, typically:

  • Black-Scholes-Merton for standard options
  • Monte Carlo simulation for performance or market conditions
  • Specialist approaches (e.g. Finnerty or NPV-based adjustments) where appropriate to reflect economic reality

We model vesting schedules, performance conditions, service conditions, leaver/forfeiture expectations, restrictions and group structures.

Where awards are granted at TopCo but employees sit in subsidiaries, we keep treatment consistent for separate and consolidated accounts.

Deliverables and who we support

Deliverables include a clear methodology narrative, working-paper schedules, expense recognition profile, sensitivities (if required & subject to our discretion) and an appendix structured for audit files.

We work with CFOs, finance directors, controllers, auditors and accounting teams in UK and international groups who require robust, audit-ready valuations.
