Fair Value Accounting Valuations

Share-Based Payment Valuations: Share Options, Growth Shares & Sweet Equity IFRS 2 / FRS 102

We deliver independent valuations for share and option schemes; including sweet equity, consultant options, management incentive plans and group‐level awards. These are separate from EMI / HMRC tax valuations.

While EMIs are about tax relief, our valuations are required for your financial statements under IFRS 2 or UK GAAP / FRS 102 with the fair value expense recognised in the accounts.


  • Complex Valuation Techniques: Black-Scholes, Monte Carlo simulation and other probabilistic models to  capture performance conditions, vesting schedules, and market-based hurdles.
     
  • Group / TopCo Subsidiary Structures: If employees are remunerated via a subsidiary but share options or shares are granted in the parent or ultimate parent entity, we ensure correct treatment for both separate and consolidated accounts.
     
  • Grant-Date Fair Value:  We calculate fair value at the date of grant (for equity-settled awards), then recognise the expense charge over the vesting period. Cash-settled awards are remeasured each reporting period.
     
  • Full Compliance & Disclosure: FRS 102, IFRS 2 requirements, including disclosure note preparation, assumptions (volatility, discount rates, market conditions), number of instruments expected to vest, rights/restrictions etc.
     
  • Audit-Ready Reporting:  Complete working papers and supporting schedules designed to satisfy auditors and streamline year-end reviews.

Purchase Price Allocation (PPA) Valuations

When you buy a business, IFRS 3 or FRS 102 requires you to allocate the purchase price across the assets and liabilities acquired. This process, known as Purchase Price Allocation (PPA), determines goodwill and values the underlying assets, both tangible and intangible assets that make up the business.


A robust PPA highlights the real drivers of value in the acquisition, supports your deal rationale and ensures your financial statements and disclosures withstand audit review.

Incremental Borrowing Rate (IBR) Calculations (IFRS 16 / FRS 102)

When the interest rate implicit in a lease isn’t available, IFRS 16 and UK GAAP require you (the lessee) to use the incremental borrowing rate (IBR) to to discount future lease payments (measure lease liabilities). 

Getting this right affects your reported lease liability, right-of-use asset value and the P&L impact.
